VAILLANT AND DEMİRDÖKÜM MERGER

Turkey becomes the manufacture base for appliances using alternative energy.

The merger of Vaillant Group, one of the giants of the heating sector, and Demirdöküm, the champion of Turkey, is complete. A press conference was held on 23rd October, Tuesday at Çırağan Palace in order to share the details of this merger with the public. During the meeting detailed information was provided as to the new organization chart, German technology to be transferred to Turkey via DemirDöküm, R&D and export opportunities as well as the environmentally sensitive sources of energy.

The legal process regarding the purchase of the 79% of the total shares of Demirdöküm by Vaillant Group has been completed successfully. Demirdöküm stock will continue to be quoted in the stock market as before.

During the press conference held after the completion of the merger, Claes Göransson, Valliant Group Associate Chairman, pointed out that ''Turkey is the third largest market for wall type heaters and the fact that the manufacturing costs are not high makes Turkey attractive for investment''. Also pointing out that ''Turkey will become the largest exporter of the Eastern European market with a leader brand like Demirdöküm joining the Vaillant Group'', Göransson stated that ''the product range that extends with the merger of the two companies will satisfy the demands of the consumer for any price range and 100% customer satisfaction will be achieved''.

Dieter Müller, Valliant Group Associate Chairman, on the other hand, reminded that ''transition to renewable sources of energy is necessary as a precaution as the natural sources of energy are polluted and consumed rapidly'' and stated that, as a result of the merger between Vaillant Group and Demirdöküm, ''Turkey will become the manufacture base for appliances using renewable energy''. Expressing that the most important impact of the merger will be observable in the air-conditioner market, Müller said that local manufacture will be started in this market and that they aim leadership in this area as well.

Christoph M. Grosser, Chairman of Vaillant Group Turkey, on the other hand, said:

''We will be the leader of the Turkish market especially, but we also aim to be influential in the global market with our large product range in all the price ranges. From now on, our service quality and rate of growth will attract everyone's attention. Through uninterrupted growth, we will create value for our consumers while contributing to the economy. While becoming the largest manufacture base of heater products with Demirdöküm, we will introduce the use of renewable energy with Vaillant, transferring technology and know-how to the country. We aim to reach a business volume of ? 1 billion by 2015.''
